摘要/Abstract

摘要：并购是企业实现产业更替和升级的重要途径，随着中国加入ＷＴＯ后，我国企业必将进行战略性的产业整合，更多地参与到全球的激烈竞争中去。根据专家预测，未来１０年中国将出现企业并购潮。本文通过对我国企业并购中存在的目的失范、方式失范、过程失范及目标失范现象的分析，指出问题的症结所在，提出了改进我国企业并购的建议。

关键词： 企业并购, 失范, 防范对策

Abstract: The merger and acquisition (M&A) is an important way to realize industrial substitution and upgrade,after the accession to the WTO with China,Enterprises of our country will carry on strategic industrial merger,will participate in global keen competition more.According to the experts,China will present a tide of merging of enterprise in the following 10 years.This paper gives an analysis on the loss of the subjective purpose,the ways,the procedure and the aims,and points out the very crux of the problem,puts forward the suggestion of improving the merge of the enterprises of our country.
